Standard Terms for Assignments

These terms apply to photography and related services provided by Antti Yrjönen (“Photographer”) where they are referenced in a quotation, booking or other agreement. Any terms specifically agreed for an assignment take precedence over these standard terms.

1. Assignment

The scope, schedule, fee, intended use and deliverables are as agreed in the quotation, email correspondence or other written confirmation.

The Client will provide information reasonably necessary to carry out the assignment and arrange any access, permissions or cooperation that it has agreed to provide.

Unless otherwise agreed, the Photographer is responsible for the photographic approach and for selecting the final material to be delivered. RAW files and other unfinished working material are not included.

2. Fees and expenses

Fees are as agreed for the assignment. Reasonable travel, accommodation, production and other expenses are charged as agreed or, where not known in advance, at cost.

VAT is added where applicable.

Invoices are payable within 14 days unless otherwise agreed. Late-payment interest may be charged in accordance with applicable law.

3. Cancellation and changes

If the Client cancels an assignment:

  • more than five business days before the agreed start, only work already carried out and non-refundable expenses are charged;

  • between one and five business days before the agreed start, up to 50% of the agreed fee may be charged;

  • less than 24 hours before the agreed start, up to 100% of the agreed fee may be charged.

The Photographer will take reasonable steps to reduce any cancellation charge where the reserved time can be used for other work.

Significant changes to the scope, schedule or deliverables may affect the fee. Where weather, illness, access restrictions, safety concerns or other circumstances beyond either party’s reasonable control prevent the assignment from going ahead, the parties will first try to reschedule it on reasonable terms.

4. Copyright and usage rights

Copyright remains with the Photographer unless expressly agreed otherwise.

The Client receives the usage rights specified for the assignment. Unless otherwise stated, those rights are non-exclusive and apply only to the agreed purpose, media, territory and period.

The Client may provide files to designers, printers, publishers and other service providers where necessary for the agreed use, but may not otherwise sell, sublicense or transfer the images to a third party without permission.

Additional uses can normally be licensed separately.

5. Editing and AI use

Normal cropping, resizing, layout adjustments and reasonable tonal or colour adjustments are permitted provided they do not materially misrepresent the photograph or its subject.

Material alterations, composites or other changes that substantially alter the meaning or content of an image require the Photographer’s agreement.

Images may not be used to train artificial-intelligence systems or for generative AI modification without prior agreement.

6. Credit

Where customary and reasonably practicable, photographs should be credited Antti Yrjönen.

7. Delivery

Delivery format and schedule are agreed for each assignment. The Photographer will take reasonable care in producing, handling and storing the material but cannot guarantee against every technical failure or circumstance outside their control.

Any material technical problem with the delivery should be reported within a reasonable time so that it can, where possible, be corrected.

8. Permissions, privacy and confidentiality

Each party is responsible for permissions and legal obligations falling within its part of the assignment. Unless otherwise agreed, the Client is responsible for permissions relating to locations, subjects or material that it specifically arranges or requires for the intended use.

Both parties will respect any confidentiality, embargoes or publication restrictions agreed in advance.

The Photographer may use delivered photographs for their own portfolio, website, exhibitions, competitions and professional promotion after their first publication by the Client, subject to any agreed confidentiality, embargo or other restriction.

9. Liability

Both parties will act with reasonable professional care.

Neither party is liable for delays or failures caused by circumstances reasonably outside its control. To the extent permitted by law, the Photographer’s liability for direct loss arising from an assignment is limited to the amount paid for the affected assignment and does not extend to indirect or consequential loss.

10. Governing terms

These terms and the individual agreement together constitute the agreement for the assignment. Changes may be agreed in writing, including by email.

The parties will try to resolve any disagreement in good faith through negotiation. Unless otherwise agreed, the agreement is governed by Finnish law.
